1. PROMOTION TIMING: The October Destined to Drive Program (the “Sweepstakes”) begins 12:00 a.m. ET on 10/1/2009 and ends 11:59 p.m. ET on 10/31/2009 (the “Promotion Period”).

2. HOW TO ENTER: During the Promotion Period, click on the Sweepstakes link included in the e-mail invitation you received, and complete the online entry form to be entered into the Sweepstakes. You may enter the Sweepstakes by filling out the online entry form once during the Promotion Period. You will receive only one entry in total, regardless of how many times you submit the entry form. Use of computer programs and other automatic means to enter the Sweepstakes is prohibited. Normal Internet access and usage charges imposed by your on-line service will apply.

3. RANDOM DRAWING: One Grand Prize winner will be selected in a random drawing on or about 11/2/2009 from among all eligible entries received as indicated above. Drawing will be conducted by Don Jagoda Associates, Inc., an independent judging organization whose decisions are final on all matters relating to the Sweepstakes. Odds of winning are dependent upon the number of eligible entries received as indicated above. Winner will be notified by phone within 48 hours from date of random drawing.

4. PRIZE AND APPROXIMATE RETAIL VALUE (“ARV”): (1) Grand Prize – A 4-day/3-night trip for two to Sonoma, CA, including round-trip first class air transportation from major airport nearest winner’s home, hotel accommodations at The Carneros Inn (double occupancy and based on availability), breakfast daily, one select spa treatment per person up to a $150 in value at the Carneros Spa, fully escorted, private wine tour use of Audi car rental for duration of stay and winner and guest will have the opportunity to participate in the winner’s choice of a 1-day Audi Sportscar Experience program at Infineon Raceway, plus winner will receive a check for $1,693 to help defray tax liability. Total Prize ARV: $11,290. Prize is non-transferable and must be accepted as awarded. No substitution may be made, except by Sponsor in the event that the prize (or portion of the prize) cannot be awarded for any reason, in which case, Sponsor will award a prize of equal or greater value. Car rental is subject to additional restrictions set forth by car rental contract. If winner does not meet rental car requisites/requirements that portion of the prize will not be awarded. Winner and guest must have a valid U.S. driver’s license and may be required to execute additional release(s) required by the raceway prior to participating in the Audi Sportscar Experience. Airline carrier's regulations and conditions apply. Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Winner and his/her traveling companion must travel together on the same itinerary. Travel companion of winner must be 21 years of age or older at time of travel will be required to execute a Release of Liability prior to departure. Winner and his/her travel companion must possess valid travel documents (i.e., valid photo ID) in order to travel. Trip must be taken within one year from date awarded; dates of departure and return are subject to change. Seat selection and timing of trip subject to availability and confirmation of reservations and any change incurred while booking travel are winner’s sole responsibility. No refunds or credit for changes are allowed. All other expenses and costs, not expressly listed above, including, but not limited to, federal, state and local taxes, tips, entertainment, transfers, and transportation to airport to and from winner’s home residence are the winner’s sole responsibility. Sponsor and its agencies assume no responsibility or liability for damages, losses or injury resulting from acceptance or use of prize.

5. ELIGIBILITY: Open to legal residents of the 50 United States including the District of Columbia and Puerto Rico who are 21 years of age or older as of date of entry and recipients of a Sweepstakes email invitation who are currently receiving eNewsletters. Employees of Audi, its dealers, affiliates, subsidiaries, advertising and promotion agencies, including FUSE Communication, Don Jagoda Associates, Inc., and their immediate family members and/or those living in the same household of each and any 2009 Audi promotion winners (as defined by Sponsor) are not eligible. Void where prohibited or restricted by law. All federal, state, and local laws and regulations apply.

6. GENERAL RULES: The Sponsor will make 3 attempts to contact the potential winner within 48 hours from the time winner selection was accomplished. If Sponsor is unable to reach the potential winner within this time frame, he/she will be disqualified and an alternate will be selected, time permitting. Potential Grand Prize winner must receiving Audi eNewsletters at time of prize award and will be required to sign and return an Affidavit of Eligibility, Liability Release, and where legal, a Publicity Release within five (5) days of notification attempt. Noncompliance within this time period will result in disqualification and an alternate winner will be selected, time permitting. Winner must file a 1099 tax form (which will also be submitted on his/her behalf by Sponsor) for the actual value of the prize awarded. If prize notification is returned as non-deliverable, the potential winner will be disqualified and an alternate winner will be selected, time permitting. By accepting prize, winner agrees that the Sponsor and those acting under the Sponsor's authority, may use winner's name, picture/portrait likeness and/or voice, for advertising and promotional purposes without further consideration, unless prohibited by law. Entrants agree to be bound by these Official Rules and the decisions of the judges. All entries become the sole property of Sponsor and none will be returned. In the event of a dispute, entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. The "authorized account holder" is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. The potential winner may be requested to provide Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry. If for any reason the Sweepstakes is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, human error or any other causes beyond the control of Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes and award prize from among all eligible entries received prior to cancellation or termination. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site, any combination thereof, or otherwise, including any injury or damage to entrant's or any other person's computer related to or resulting from participation or downloading any materials in the Sweepstakes. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

7. WINNER: The Grand Prize winner will be announced in the December 2009 Audi eNewsletter.

8. SPONSOR/ADMINISTRATOR: The Sponsor of the Sweepstakes is Audi of America, Inc., 2200 Ferdinand Porsche Drive Herndon, VA 20171. The administrator of the Sweepstakes is Don Jagoda Associates, Inc., 100 Marcus Drive, Melville, NY 11747.
